Update of the percentage of participation of Mr Menelaos Tassopoulos

The company PAPOUTSANIS SA (the Company), according to the law. 3556/2007, Regulation 596/2014 and the Euronext Athens Stock Exchange Regulation, each as applicable, informs the investing public that due to distribution of profits from previous years in kind through the distribution of shares owned by the Company, the percentage of voting rights controlled directly and indirectly by Mr. Menelaos Tassopoulos amounts today to 23,71% of the total voting rights of the Company's shares (corresponding to 6.425.249 common, registered, voting shares of the Company) as follows:

  1. Directly, due to the holding of 1.168.367 common, registered, voting shares
  2. Indirectly, through the company controlled by him with the name "SAPON MONOPROSOPI S.A." which holds 5.256.882 common nominal voting shares of the Company

It is noted that the aforementioned change, i.e. the increase from 23.70% of the total voting rights of the Company notified to the Company on the basis of the relevant TR1 notification on 09.02.2022 does not exceed the limits of article 9 of Law 3556/2007.

 

 

Update of the percentage of participation of Mr Georgios Gatzaros

The company PAPOUTSANIS SA (the Company), according to the law. 3556/2007, Regulation 596/2014 and the Euronext Athens Stock Exchange Regulation, each as applicable, informs the investing public that due to distribution of profits from previous years in kind through the distribution of shares owned by the Company, the percentage of voting rights controlled directly by Mr. Georgios Gatzaros amounts today to 22,60% of the total voting rights of the Company's shares (corresponding to 6.124.003 common, registered, voting shares of the Company) as follows:

  1. Due to the (CIF) 252.339 common, registered, voting shares
  2. Due to the individual account nominal 5.871.664 voting shares of the Company

It is noted that the aforementioned change, i.e. the reduction from 24.47% of the total voting rights of the Company notified to the Company on the basis of the relevant TR1 notification on 10.11.2020 does not exceed the limits of article 9 of Law 3556/2007.

 

 

Update of the percentage of participation of 3Κ Investment Partners Limited

The company PAPOUTSANIS SA (the Company), according to the law. 3556/2007, Regulation 596/2014 and the Euronext Athens Stock Exchange Regulation, each as applicable, informs the investing public that due to distribution of profits from previous years in kind through the distribution of shares owned by the Company, the percentage of voting rights controlled by 3Κ Investment Partners Limited amounts today to 6,22% of the total voting rights of the Company's shares (corresponding to 1.686.847 common, registered, voting shares of the Company). "3K Investment Company Limited" holds 100% of the share capital of "3K Investment Partners Single-member Mutual Fund", a company that manages the mutual funds, "3K Domestic Equity Fund", "3K Greek Value Domestic Equity Fund" and "NN HELLAS Equity Fund", which hold (as direct shareholders) shares of the Company.

 

It is noted that the aforementioned change, i.e. the increase from 6,16% of the total voting rights of the Company notified to the Company on the basis of the relevant TR1 notification on 09.02.2022 does not exceed the limits of article 9 of Law 3556/2007.

 

 Update of the percentage of participation of Truad Verwaltungs A.G.

Papoutsanis S.A. (the “Company”), following the notification received on 30 April 2026 by Truad Verwaltungs A.G. (“Truad”) in its capacity as a professional trustee of a private irrevocable discretionary trust established for the primary benefit of descendants of the father of the late Anastasios Georgios Leventis (the “Trust”), informs the investors’ community that:

Up to 26.4.2026 Truad indirectly held in its above capacity through the chain of companies it fully controlled (namely Kar-Tess Holding Ltd. (former known as Torval Investment Corp. Limited) which controlled its 100% subsidiary Thrush Investment Holdings Limited which controlled its 100% subsidiary Eagle Enterprises S.A.) 21,13% of the total number of the voting rights of the Company (corresponding to 5.726.302 voting rights and equal number of common voting registered shares).

 

On 27.4.2026, as publicly announced, the Company proceeded to a distribution of profits from previous years in kind through the distribution of shares owned by the Company. As a result, the percentage of voting rights of the Company held directly by Thrush Investment Holdings Limited has surpassed the threshold of Law 3556/2007.

 

In particular, following the completion of such corporate action, Truad as of 27.04.2026 indirectly holds 21,33% of the total number of the voting rights of the Company (corresponding to 5.779.897 voting rights and equal number of common voting registered shares) through the control by Truad of its 100% subsidiary “Kar-Tess Holding Ltd.”, which owns 100% of the issued share capital of “Thrush Investment Holdings Limited”, which holds:

 

  1. directly 20,14% of the total number of voting rights (corresponding to 5.457.673 voting rights and equal number of common voting registered shares); and

     

  2. indirectly through the control of “Eagle Enterprises S.A.” a percentage of 1,19% of the total number of voting rights (corresponding to 322.224 voting rights and equal number of common voting registered shares) of the Company (“Eagle Enterprises S.A.” is controlled as follows: “Kar-Tess Holding Ltd.” owns 100% of the issued share capital of “Thrush Investment Holdings Limited” which owns 100% of the issued share capital of “Eagle Enterprises S.A.”).

 

Furthermore, Truad controls and exercises the aforementioned voting rights at its discretion without receiving any specific directions or instructions by the beneficiaries of the Trust or any other person and there is no other person who controls (within the meaning of Law 3556/2007) Truad.
